2017

The Annual General Meeting of Allianz SE took place on May 3, 2017 in Munich’s Olympiahalle.

The Annual General Meeting approved all resolutions with a clear majority. The payment of a dividend of 7.60 euros per share and the approval of the control and profit transfer agreement between Allianz SE and Allianz Global Health GmbH were resolved.

Sophie Boissard, Christine Bosse, Dr. Friedrich Eichiner, Herbert Hainer, Michael Diekmann (from May 7, 2017), Dr. Helmut Perlet (until and including May 6, 2017) and Jim Hagemann Snabe were elected as shareholder representatives to the Supervisory Board. Michael Diekmann will assume the Chair of the Supervisory Board on May 7, 2017.

At the time the attendance was announced, a total of 188,389,726 no-par-value shares and the equivalent number of voting rights were represented at the Annual General Meeting. This corresponds to 41.22% of the capital stock.

2016

The Annual General Meeting of Allianz SE took place on May 4, 2016 in Munich’s Olympiahalle.

The Annual General Meeting agreed to each of the proposed resolutions with a clear majority. One of the resolutions was the payment of a dividend of 7.30 euros per share.

Friedrich Eichiner, member of the Board of Management of BMW AG, was newly elected to the Supervisory Board. He succeeds Peter Denis Sutherland, who resigned with effect from the Annual General Meeting on May 4, 2016.

At the time the attendance rate was announced, a total of 180,306,997 no-par-value shares and the same number of voting rights were represented at the Annual General Meeting. This corresponds to 39.45% of the capital stock.

2015

The Annual General Meeting of Allianz SE took place on May 6, 2015 in Munich’s Olympiahalle.

The Annual General Meeting agreed to each of the proposed resolutions with a clear majority. One of the resolutions was the payment of a dividend of 6.85 euros per share and an amendment to the Statutes relating to the appointment of the members of the Supervisory Board: the employee representatives of the Supervisory Board will, in the future, be appointed by the SE Works Council instead of the General Meeting.

At the time the attendance rate was announced, a total of 183.038.370 no-par-value shares and the same number of voting rights were represented at the Annual General Meeting. This corresponds to a presence of participants of 40.05% of the capital stock.
 

2014

The Annual General Meeting of Allianz SE took place on May 7, 2014 in Munich’s Olympiahalle.

The Annual General Meeting agreed to each of the proposed resolutions with a clear majority. It was resolved to pay a dividend of 5.30 euros per share, to create authorized capital and to supplement conditional capital, as well as to authorize the buy back of treasury shares and to approve the amendment of existing enterprise agreements.

The Annual General Meeting also elected Jim Hagemann Snabe to the Supervisory Board as shareholder representative.

At the time the presence was announced, a total of 181.712.280 no-par-value shares and the same number of voting rights were represented at the Annual General Meeting. This corresponds to a presence of participants of 39,81% of the capital stock, 35,40% of which were attributable to attendees and 4,41% to absentee votes.

The dividend was paid out on May 8, 2014 to all shareholders who held Allianz shares on May 7, 2014.
 

2013

The Annual General Meeting 2013 of Allianz SE took place in Munich's Olympiahalle on May 7, 2013.

The AGM agreed to each of the proposed resolutions with a clear majority. One of the resolutions was the payment of a dividend of 4.50 euros per share. The Annual General Meeting elected Christine Bosse to the Supervisory Board as shareholder representative.

At the time the attendance rate was announced, a total of 123,926,054 no-par-value shares and the same number of voting rights were represented at the Annual General Meeting. This corresponds to a presence of participants of 27.18% of the capital stock, 25.60% of which were attributable to attendees and 1.58% to absentee votes.

2012

The Annual General Meeting 2012 of Allianz SE took place in Munich's Olympiahalle on May 9, 2012.

The AGM agreed to each of the proposed resolutions with a clear majority. One of the resolutions was the payment of a dividend of 4.50 euros per share. Due to the expiring term of office of the Supervisory Board, elections to the Supervisory Board were on the agenda.

At the time the attendance rate was announced, a total of 199,543,252 no-par-value shares and the same number of voting rights were represented at the Annual General Meeting. This corresponds to a presence of participants of 43.83% of the capital stock, 39.39% of which were attributable to attendees and 4.44% to absentee votes.
 

2011

The Annual General Meeting of Allianz SE took place on May 4, 2011 in Munich's Olympiahalle.

The Annual General Meeting agreed to each of the proposed resolutions with a clear majority. One of the resolutions was the payment of a dividend of 4.50 euros per share and an amendment to the Statutes relating to the remuneration for Supervisory Board members: the previous performance-oriented remuneration is to be replaced by purely fixed remuneration.

At the time the attendance rate was announced, a total of 188,648,112 no-par-value shares and the same number of voting rights were represented at the Annual General Meeting. This corresponds to a presence of participants of 45.14% of the capital stock, 41.50% of which were attributable to attendees and 3.64% to absentee votes.

No shareholder proposals were submitted to the Annual General Meeting 2011 of Allianz SE.
 

2010

The Annual General Meeting of Allianz SE took place on May 5, 2010 in Munich’s Olympiahalle.

The Annual General Meeting agreed to each of the proposed resolutions with a clear majority. One of the resolutions was the payment of a dividend of 4.10 euros per share, the extension of the authorized and conditional capital, the authorization to buy back treasury shares for a period of 5 years and the approval of the remuneration system for the Board of Management. The Annual General Meeting also elected Peter Denis Sutherland to the Supervisory Board as shareholder representative.

At the time the attendance rate was announced, a total of 147,948,492 no-par-value shares, and the same number of votes, were represented at the Annual General Meeting. This corresponds to a presence of participants of 32.59% of the capital stock.

Due to an amendment to the Statutes resolved by the Annual General Meeting 2009 absentee voting and online absentee voting were possible for the first time. Including the absentee votes cast for 20,460,911 no-par-value shares, which correspond to 4.51% of the capital stock, altogether 37.10% of the capital stock stated in the Statutes were represented at the Annual General Meeting.

No shareholder proposals were submitted to the Annual General Meeting 2010 of Allianz SE.
 

2009

The Annual General Meeting of Allianz SE took place on April 29, 2009 in Munich’s Olympiahalle.

The Annual General Meeting agreed to each of the proposed resolutions with a clear majority. One of the resolutions was the payment of a dividend of 3.50 euros per share as well as several amendments to the Statutes; the latter related to increasing the transparency of the share register by introducing an upper threshold of 3% for nominee holdings pursuant to section 67 of the German Stock Corporation Act, as well as to casting absentee votes in writing or casting online absentee votes electronically without taking part in the Annual General Meeting.

At the time the attendance rate was announced, a total of 184.427.107 no-par-value shares, and the same number of votes, was represented at the Annual General Meeting. This corresponds to 40.71% of the capital stock.
 

2008

The Annual General Meeting of Allianz SE took place on May 21, 2008 in Munich’s Olympiahalle.

The Annual General Meeting agreed to each of the proposed resolutions with a clear majority. One of the resolutions was the payment of a dividend of 5.50 euros per share as well as an amendment to the Statutes, clarifying that members of the nomination committee do not receive separate remuneration for their activities on this committee.

At the time the attendance rate was announced, a total of 181.713.861 no-par-value shares, and the same number of votes, was represented at the Annual General Meeting. This corresponds to 40.17% of the capital stock.
 

2007

The Annual General Meeting of Allianz SE took place on May 2, 2007 in Munich’s Olympiahalle.

One of the resolutions was the payment of a dividend of 3.80 euros per share as well as an amendment to the Statutes, pursuant to which the electronic transmission of information to shareholders is permissible. As a result of the expiry of the term of office, elections to the Supervisory Board were also on the agenda of this Annual General Meeting.

At the time the attendance rate was announced, a total of 190.821.810 no-par-value shares, and the same number of votes, was represented at the Annual General Meeting. This corresponds to 42.49% of the capital stock.
 

2006

The Annual General Meeting of Allianz AG took place on May 3, 2006 in Munich’s Olympiahalle.

The Annual General Meeting agreed to each of the proposed resolutions with a clear majority. One of the resolutions was the payment of a dividend of 2.00 euros per share.

At the time the attendance rate was announced, a total of 159.007.546 no-par-value shares, and the same number of votes, was represented at the Annual General Meeting. This corresponds to 39.16% of the capital stock.

No shareholder proposals were submitted to the Annual General Meeting 2006 of Allianz SE.

2006 e.o.

An Extraordinary General Meeting of Allianz AG took place on February 8, 2006 at Messe Düsseldorf, Halle 8, Messeplatz 1, 40474 Düsseldorf, Germany.

The Extraordinary General Meeting (EGM) agreed to each of the proposed resolutions with a clear majority. The EGM was concerned with the merger of Allianz's Italian subsidiary, Riunione Adriatica di Sicurtà S.P.A. (RAS), with Allianz AG and the resultant conversion of Allianz AG into a European stock corporation (SE). The shareholders approved the merger with a clear majority of 99.90 percent. Additional resolutions concerned the extension of authorized and conditional capital.

At the time the attendance rate was announced, a total of 172.543.126 no-par-value shares, and the same number of votes, was represented at the Extraordinary General Meeting. This corresponds to 42.49% of the capital stock.

2005

The Annual General Meeting of Allianz AG took place on May 4, 2005 in Munich’s Olympiahalle.

The Annual General Meeting agreed to each of the proposed resolutions with a clear majority. One of the resolutions was the payment of a dividend of 1.75 euros per share and an amendment to the Statues to amend the remuneration for Supervisory Board Members taking account of the German Corporate Governance Code. In particular a remuneration component relating to long-term company success is introduced. (NB: This resolution was rendered obsolete by the introduction of purely fixed remuneration resolved by the Annual General Meeting 2011). The Annual General Meeting also elected Igor Landau und Prof. Dr. Dennis J. Snower to the Supervisory Board as shareholder representatives.

At the time the attendance rate was announced, a total of 134.318.729 no-par-value shares, and the same number of votes, was represented at the Annual General Meeting. This corresponds to 34.82% of the capital stock.
 

2004

The Annual General Meeting of Allianz AG took place on May 5, 2004 in Munich’s Olympiahalle.

The Annual General Meeting agreed to each of the proposed resolutions with a clear majority. One of the resolutions was the payment of a dividend of 1.50 euros per share and the extension of authorized and conditional capital.

The procedural motion that voting on the ratification of the acts of the Supervisory Board members be carried out for each member individually was rejected with 94,539,037 votes against, 63,784 votes in favor and 4,157,819 abstentions.

At the time the attendance rate was announced, a total of 142.936.916 no-par-value shares, and the same number of votes, was represented at the Annual General Meeting. This corresponds to 37.15% of the capital stock.
 

2003

The Annual General Meeting of Allianz AG took place on April 29, 2003 in Munich’s Olympiahalle.

The Annual General Meeting agreed to each of the proposed resolutions with a clear majority. One of the resolutions was the payment of a dividend of 1.50 euros per share. As a result of the expiry of the term of office, elections to the Supervisory Board were also one of the items on the agenda of this Annual General Meeting.

At the time the attendance rate was announced, a total of 106.533.879 no-par-value shares, and the same number of votes, was represented at the Annual General Meeting. This corresponds to 39.97% of the capital stock.

2002

The Annual General Meeting of Allianz AG took place on June 12, 2002 in Munich’s Olympiahalle.

The Annual General Meeting agreed to each of the proposed resolutions with a clear majority. One of the resolutions was the payment of a dividend of 1.50 euros per share as well as several amendments to the Statutes; the latter concerned, among others, the remuneration of Supervisory Board members, as well as the participation in and the exercise of voting rights at the Annual General Meeting.

At the time the attendance rate was announced, a total of 124.503.571 no-par-value shares, and the same number of votes, was represented at the Annual General Meeting. This corresponds to 46.73% of the capital stock.

2001

The Annual General Meeting of Allianz AG took place on July 11, 2001 in Munich’s Olympiahalle.

The Annual General Meeting agreed to each of the proposed resolutions with a clear majority. One of the resolutions was the payment of a dividend of 1.50 euros per share and the extension of authorized and conditional capital, as well as several amendments to the Statutes.

At the time the attendance rate was announced, a total of 144.567.295 no-par-value shares, and the same number of votes, was represented at the Annual General Meeting. This corresponds to 58.83% of the capital stock.

2000

The Annual General Meeting of Allianz AG took place on July 12, 2000 in Munich’s Olympiahalle.

The Annual General Meeting agreed to each of the proposed resolutions with a clear majority. One of the resolutions was the payment of a dividend of 1.25 euros per share and the extension of the Authorized Capital I, as well as an amendment to the Statutes in connection with the German Act on Registered Shares and on Simplifying the Exercise of Voting Rights (NaStraG).

At the time the attendance rate was announced, a total of 148.624.565 no-par-value shares, and the same number of votes, was represented at the Annual General Meeting. This corresponds to 60.60% of the capital stock.

No shareholder proposals were submitted to the Annual General Meeting 2000 of Allianz AG.
