Directors' dealings and equity holdings

In accordance with article 19 of the EU Market Abuse Regulation, persons discharging managerial responsibilities for issuers shall notify the issuer and the competent authority of every transaction conducted on their own account relating to the shares or debt instruments of that issuer or to derivatives or other financial instruments linked thereto promptly and no later than three business days after the date of the transaction. This obligation also applies to persons closely associated with such persons.
Allianz publishes Directors' dealings notifications according to article 19 of the EU Market Abuse Regulation – along with other mandatory reports – via EQS Group AG.

The members of the Board of Management are obliged to build up ownership of Allianz shares within three years:

  • Chairperson of the Board of Management: two times base salary
  • Regular Board of Management member: one time base salary

Ownership is required for the entire term of service on the Board of Management. Shares will be acquired through mandatory pay component conversion. In the event of a base salary increase, the shareholding obligation increases accordingly. The ownership obligation ceases with the end of the mandate.
