The first Annual General Meeting of Allianz SE elected the twelve members of its Supervisory Board with a large majority. The standard German right to employee participation remains. However, the supervisory Board is smaller and more international than its Allianz AG predecessor.

Much that seemed utopian 50 years ago, when the Treaties of Rome were signed, is reality today. Allianz has evolved just as Europe has, and is committed to the project of Europe.

In an interview, CEO Michael Diekmann explains the rationale behind Allianz's transformation into a European company, or Societas Europaea (SE), which he sees as latest evidence of broader cultural change at the Allianz Group. Beyond more simple structures, he sees benefits for customers as well.

Today, the last step of the merger between Allianz and its Italian subsidiary RAS is completed with the listing of the Allianz share on the MTA International (Mercato Telematico Azionario), a segment of Borsa Italiana S.p.A.

Allianz SE lists its shares at the Milan stock exchange, following completion of the merger with RAS.

The registration of the merger of RAS Holding S.p.A. into Allianz AG with the commercial register marks the successful completion of the integration plan Allianz embarked on over a year ago to convert itself into a European Company (Societas Europaea – SE).

Europe has always been a key issue for the Allianz Cultural Foundation, which has developed specific projects in the last two years. In addition to projects focusing on Central and Eastern Europe, in 2007 it will organize another Allianz Summer Academy and continue the Allianz Lectures series.

All legal requirements in Italy for the merger of RAS Holding and Allianz AG are fulfilled.

At the Extraordinary General Meeting on Wednesday, Allianz shareholders approved the merger of Italian Allianz subsidiary RAS S.p.A into Allianz AG. With this, an important step has been made towards transforming the holding company into a European Company (SE). Allianz CEO Michael Diekmann welcomed the shareholders’ vote as an "Investment in Europe".

At the Extraordinary General Meeting in Düsseldorf today, Allianz shareholders will decide whether or not the merger of Allianz AG and Italian RAS goes ahead.

Shareholders' meeting approves the plan to merge into Allianz AG which will lead to the establishment of a European Company.

The exchange ratio is three Allianz shares for 19 RAS shares.

Allianz AG publishes the final results of the voluntary public tender offer for ordinary shares and savings shares of RAS S.p.A.
