The Allianz Group is combining its private equity activities in a newly established holding company. The existing units of Allianz and Dresdner Bank will be bundled in Allianz Private Equity Holding.

The new company will ensure a coordinated investment strategy and central reporting and controlling. The existing units will retain their independence at an organizational level.

Thomas Pütter (44) has been appointed Spokesman for the Management, while simultaneously acting as Chairman of the Board of Management of Allianz Capital Partners.

During recent years, Allianz has significantly expanded financing business for non-quoted companies in the process of diversifying its investments. This is true for direct investments and for indirect fund investments. In conjunction with Dresdner Bank the group offers financial solutions for all market segments, including company start-ups, small and medium-sized enterprises, and big industrial companies.
Existing activities integrated within three groups
The existing activities of Allianz and Dresdner Bank will be integrated within three groups. The area of Direct Private Equity is providing equity capital and mezzanine capital* for company acquisitions, management buy-outs*, and for restructuring measures, privatizations and growth finance. The core of the unit headed by Thomas Pütter is Allianz Capital Partners, founded in 1998.

Specialized Investments embraces investments which either have a specific geographical focus or relate to a particular industrial sector. These include Allianz Venture Partners (AVP) which supports innovative business ideas in the financial services sector and relevant technologies with venture capital*.

Also included are Dresdner Kleinwort Capital activities, among others the Life Sciences Investments, Elder Street, specializing in investments in the software sectors, and activities with focus e.g. on Central Europe or the American energy supply industry. The unit is headed by Andrew Cowley (38), to date Managing Director and Head of Investment Strategy for Dresdner Kleinwort Capital.

The fund-based investments of the two institutions operate in the area of Indirect Private Equity, including primary fund investments as well as secondary fund activities and co-investments. The respective units at Allianz and Dresdner Bank will be integrated under Allianz Private Equity Partners (APEP). This division is headed by Helmut Wimmer (50) who is also responsible for industrial shareholdings at Allianz.

Allianz Private Equity Holding employs around 200 employees worldwide, mainly in Europe and the USA. “With a total investment volume of 6.5 billion euros we are one of the big private equity investors in the market”, commented Thomas Pütter on the establishment of the new holding. “Pooling our know-how and having confirmed investment criteria will enable us to exploit the long-term growth opportunities even better for the benefit of the Allianz Group. We can also make a contribution by providing equity capital for unquoted companies, not least in order to maintain a strong and competitive base of small and medium-sized companies.”
Glossary
Mezzanine financing: Financing structured as subordinated loans, not generally secured by a property charge. A form of finance between fully liable equity capital and a senior secured loan that is generally secured on real property. Mezzanine financing has its origin in financing MBOs and is also used for growth capital financing and financing acquisition strategies.

Management Buy-Outs (MBOs): Takeover of a company or parts of a company by the management active in the acquired company.

Venture Capital: Risk-carrying capital that is used in particular for financing
- Innovative projects,
- Company start-ups.
